We operate the mobile application TPA Tap App (the “App”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”). These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and The Players Alliance, concerning your access to and use of the Services. By accessing the Services, you represent that you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you to changes by updating the “Last updated” date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. Your continued use of the Services after the date any revised Legal Terms are posted constitutes acceptance of those changes.
The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services. We recommend that you print or save a copy of these Legal Terms for your records.
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to a registration requirement within that jurisdiction or country. Persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, to the extent local laws apply.
The Services are not tailored to comply with industry-specific regulations (such as HIPAA or FISMA). If your interactions with us would be subject to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained in the Services (the “Marks”). Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) in the United States and around the world. The Content and Marks are provided “AS IS” for your personal, non-commercial use only.
Subject to your compliance with these Legal Terms, including the “Prohibited Activities” section below, we grant you a non-exclusive, non-transferable, revocable license to:
Except as set out in this section or elsewhere in these Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.
If you wish to make any other use of the Services, Content, or Marks, please contact info@playersalliance.org. If we grant permission to post, reproduce, or publicly display any part of our Content, you must identify us as the owner or licensor and ensure any copyright or proprietary notice remains visible.
We reserve all rights not expressly granted to you in the Services, Content, and Marks. Any breach of these intellectual property rights will constitute a material breach of these Legal Terms and will result in immediate termination of your right to use the Services.
Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services (“Submissions”), you agree to assign to us all intellectual property rights in that Submission, and you agree that we may use and disseminate it for any lawful purpose without acknowledgment or compensation to you.
Contributions: The Services may invite you to chat, post, or otherwise participate in forums or similar functionality, through which you may submit text, video, audio, photographs, graphics, comments, or other material (“Contributions”). Any Submission that is publicly posted is also treated as a Contribution. Contributions may be viewable by other users and, in some cases, through third-party websites.
By posting Contributions, you grant us a broad, worldwide, royalty-free license to use, reproduce, distribute, publicly display, and create derivative works from your Contributions (including your name, image, and voice) for any purpose, including commercial and promotional purposes, in any media now known or later developed.
By submitting Contributions, you confirm that they do not violate our Prohibited Activities, that you have the rights necessary to grant this license, that they are not confidential, and to the extent permitted by law, you waive any moral rights in them. You are solely responsible for your Contributions and agree to reimburse us for losses arising from your breach of this section, a third party’s intellectual property rights, or applicable law.
We have no obligation to monitor Contributions but may remove or edit any Contribution at any time, without notice, if we consider it harmful or in breach of these Legal Terms, and may suspend or disable the related account.
If you believe material on the Services infringes a copyright you own or control, please see Section 15, “Copyright Infringements,” below.
By using the Services, you represent and warrant that:
If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any current or future use of the Services.
You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all activity under your account. We may remove, reclaim, or change a username we determine, in our sole discretion, to be inappropriate, obscene, or otherwise objectionable.
We make reasonable efforts to display the colors, features, specifications, and details of any products offered through the Services as accurately as possible, but we do not guarantee that this information is accurate, complete, reliable, current, or error-free, and your display settings may affect how colors and details appear. All products are subject to availability. We reserve the right to discontinue any product at any time, and prices are subject to change.
We accept the following forms of payment:
You agree to provide current, complete, and accurate purchase and account information, and to promptly update it as needed so we can complete transactions and contact you. Applicable sales tax will be added where required. All payments are in US dollars. Placing an order authorizes us to charge your chosen payment method for the amount due.
We reserve the right to refuse any order, correct pricing errors even after payment has been requested or received, and limit or cancel quantities purchased per person, household, or order, including where we suspect an order is placed by a dealer, reseller, or distributor.
Please review our Return Policy, posted on the Services, before making any purchase.
You may not access or use the Services for any purpose other than the one for which we make them available, and you may not use the Services for any commercial endeavor except one we have specifically endorsed or approved. As a user, you agree not to:
The Services may allow you to chat, post, or otherwise contribute text, video, audio, photographs, graphics, or other material (“Contributions”), which may be viewable by other users and through third-party websites, and may be treated as non-confidential and non-proprietary. By posting Contributions, you represent and warrant that they:
Violating any of the above may result in termination or suspension of your rights to use the Services.
By posting Contributions, you grant us a worldwide, royalty-free, sublicensable, transferable license to host, use, copy, reproduce, disclose, publish, broadcast, archive, store, publicly perform and display, reformat, translate, and create derivative works from your Contributions (including your image and voice), for any purpose, in any media now known or later developed. You waive all moral rights in your Contributions to the extent permitted by law.
We do not claim ownership of your Contributions — you retain all rights and intellectual property associated with them. We are not liable for statements made in your Contributions, and you agree to hold us harmless from any claims relating to them.
We may, in our sole discretion, edit, redact, re-categorize, pre-screen, or delete any Contribution at any time and for any reason, without notice, though we have no obligation to monitor Contributions.
If you access the Services through the App, we grant you a revocable, non-exclusive, non-transferable, limited license to install and use the App on devices you own or control, strictly under these Legal Terms. You agree not to:
If you obtained the App through the Apple App Store or Google Play (each, an “App Distributor”), the following applies: your license is limited to use on a device using the applicable operating system, consistent with that store’s terms of service; we, not the App Distributor, are responsible for providing maintenance and support for the App as required by these Legal Terms or applicable law; in the event of a warranty failure, you may notify the App Distributor, which may refund the purchase price (if any) but has no further warranty obligation; you represent that you are not located in a country subject to a US government embargo or listed as a supporter of terrorism, and are not on any US government list of prohibited or restricted parties; you must comply with any applicable third-party agreement (for example, your wireless data service agreement); and each App Distributor is a third-party beneficiary of this section and may enforce it against you.
The Services may link to third-party websites, applications, or content (“Third-Party Websites” and “Third-Party Content”) that we do not investigate, monitor, or control, and for which we are not responsible. Inclusion of a link does not imply our endorsement. If you access Third-Party Websites or Content, you do so at your own risk, and these Legal Terms no longer apply. Any purchases through Third-Party Websites are solely between you and that third party. You agree to hold us harmless from any harm or loss arising from Third-Party Content or your dealings with Third-Party Websites.
We reserve the right, but not the obligation, to monitor the Services for violations of these Legal Terms; take legal action against anyone who violates the law or these Legal Terms, including reporting them to law enforcement; restrict, refuse, or disable access to any Contribution; remove content that is excessive in size or burdensome to our systems; and otherwise manage the Services to protect our rights and property and support their proper functioning.
We care about data privacy and security. Please review our Privacy Policy at https://www.playersalliance.community/privacy/, which is incorporated into these Legal Terms. The Services are hosted in the United States. If you access the Services from outside the United States, you consent to having your data transferred to and processed in the United States.
If you believe material available through the Services infringes a copyright you own or control, please notify us using the contact information in Section 28 (a “Notification”). A copy of your Notification will be sent to the person who posted the material. You may be held liable for damages if you make material misrepresentations in a Notification, so if you are unsure whether material infringes your copyright, consider contacting an attorney first.
These Legal Terms remain in effect while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services (including blocking certain IP addresses) to any person for any reason, including breach of these Legal Terms. We may terminate your use, suspend or delete your account, and remove any content you posted at any time, without warning, in our sole discretion.
If your account is terminated or suspended, you are prohibited from registering a new account under your name, a false name, or on behalf of a third party. We reserve the right to pursue appropriate legal action, including civil, criminal, and injunctive remedies.
We reserve the right to change, modify, or remove the content of the Services at any time, without notice or obligation to update information. We cannot guarantee the Services will always be available; we may experience interruptions due to maintenance or technical issues. You agree we have no liability for any loss or inconvenience caused by downtime or discontinuance of the Services, and nothing here obligates us to maintain, support, or update the Services.
These Legal Terms and your use of the Services are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles.
To expedite resolution and control costs, you and we agree to first attempt to resolve any dispute, controversy, or claim related to these Legal Terms (a “Dispute”) informally for at least thirty (30) days before initiating arbitration. Informal negotiations begin upon written notice from one party to the other.
If a Dispute is not resolved through informal negotiations, it will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA), and where applicable, the AAA’s Supplementary Procedures for Consumer Related Disputes. YOU UNDERSTAND THAT, WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Arbitration fees are governed by the applicable AAA rules. Arbitration may occur in person, by document submission, by phone, or online, and the arbitrator’s decision will be in writing. Except as otherwise required, arbitration will take place in Bergen County, New Jersey. Either party may go to court to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate, or enter judgment on an arbitration award.
If a Dispute proceeds in court rather than arbitration, it will be brought in the state or federal courts located in Bergen County, New Jersey, and the parties consent to jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Legal Terms.
No Dispute may be brought more than one (1) year after the cause of action arose.
Arbitration is limited to the Dispute between the individual parties. No arbitration may be joined with another proceeding, brought as a class action, or brought in a representative capacity on behalf of the general public or others.
Disputes seeking to enforce or protect intellectual property rights, disputes involving allegations of theft, piracy, invasion of privacy, or unauthorized use, and claims for injunctive relief are not subject to informal negotiation or arbitration.
The Services may contain typographical errors, inaccuracies, or omissions, including in descriptions, pricing, and availability. We reserve the right to correct any such errors and to update information at any time without prior notice.
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY AS TO THE ACCURACY OR COMPLETENESS OF ANY CONTENT AND ASSUME NO LIABILITY FOR ERRORS, INACCURACIES, PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICES, UNAUTHORIZED ACCESS TO OUR SERVERS, INTERRUPTIONS IN TRANSMISSION, BUGS OR VIRUSES, OR ANY LOSS OR DAMAGE FROM CONTENT POSTED OR MADE AVAILABLE THROUGH THE SERVICES. WE DO NOT ENDORSE OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED BY A THIRD PARTY THROUGH THE SERVICES. YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WILL AT ALL TIMES BE LIMITED TO THE AMOUNT, IF ANY, YOU PAID US IN THE SIX (6) MONTHS BEFORE THE CAUSE OF ACTION AROSE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand (including reasonable attorneys’ fees) made by any third party due to or arising from: your Contributions; your use of the Services; your breach of these Legal Terms; any breach of your representations and warranties; your violation of a third party’s rights, including intellectual property rights; or any harmful act toward another user with whom you connected through the Services. We reserve the right, at your expense, to assume exclusive defense of any matter subject to indemnification, and you agree to cooperate with our defense. We will use reasonable efforts to notify you of any such claim.
We maintain certain data you transmit to the Services to manage their performance, as well as data relating to your use of the Services. Although we perform routine backups, you are solely responsible for all data you transmit or that relates to your activity on the Services. We have no liability to you for any loss or corruption of such data, and you waive any right of action against us arising from such loss or corruption.
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and agree that electronic agreements, notices, disclosures, and other communications satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, orders, and records, and waive any right to require an original (non-electronic) signature or delivery or retention of non-electronic records.
If a complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
These Legal Terms, together with any policies or operating rules posted on the Services, constitute the entire agreement between you and us. Our failure to enforce any right or provision does not waive that right or provision. These Legal Terms operate to the fullest extent permitted by law, and we may assign our rights and obligations at any time. We are not responsible for any loss, damage, delay, or failure to act caused by circumstances beyond our reasonable control. If any provision is found unlawful, void, or unenforceable, that provision is severable and does not affect the remaining provisions. No joint venture, partnership, employment, or agency relationship is created between you and us by these Legal Terms or your use of the Services. You waive any defense based on the electronic form of these Legal Terms or the lack of a physical signature.
